Our Merger & Acquisition Services include:

Business Divestitures. The company has business units that no longer fit the long-term strategy and require a well planned and executed M&A process to obtain the best value. Our team works with the owners and management to manage a sale transaction on your behalf.

M&A Buyer Services. The CEO and Board of Directors have a vision of the company's future that is significantly greater than it's historical results and seek to compliment their existing management team with the skills of experienced M&A professionals. Acquisitions are an important element of corporate strategy; we help implement a process designed to achieve quality growth and profitability while enhancing the existing corporate culture.

Exit Strategies. The owner (frequently also the founder of a closely held business must consider the sometimes diverse needs of family members and long term employees. We understand family business issues and bring an objective advice and counsel to assist our clients to identify alternatives and accomplish their objectives.

Our Access to Capital Services include:

Private Placements of Debt and Equity Capital. A growth stage company needs capital and other resources to grow the business. We advise and assist clients in private placements of debt and equity. We facilitate the process by understanding our client's competitive advantages and unique capabilities then finding the right financing source.

IPO Advisory Services. When companies need permanent capital and ready access to the capital markets, an IPO may be the appropriate financing choice. We assist clients by analyzing the feasibility of an IPO and by determining a likely valuation range. We also help clients select the right professional team including accountants, attorneys and underwriters.

Financial Restructuring. An undercapitalized business is likely to suffer cash flow problems that limit expansion and may result in corporate failure. We assist clients to achieve an appropriate capital structure and cost of capital, related to the company's strategic plan.

Typically, our Financial Advisory Services are provided to clients planning a future merger, acquisition or divestment transaction. We provide our Clients with a skilled business advisor who has specific, relevant experience to assist on each project.

Our Financial Advisory Services include:

Valuation Services, including Fairness Opinions. Whether you are buying, selling or planning, Brisbane Capital provides objective evidence of value in business valuations for companies or their underlying securities including common, convertible and preferred equities, warrants, options, various debt instruments and partnership interests.

Due Diligence. Our Due Diligence service is designed to provide clients a comprehensive understanding and business assessment of a target's business, whether the target is the buyer or seller. We accomplish this assessment by reviewing the target's objectives, strategies and expected financial results. In reviewing the target company's plans we seek to identify challenges and risks that could hinder the target's accomplishment of their objectives. We also seek to identify opportunities to improve the results. Our approach includes interviews with key managers, analysis of historical data, market research and analysis/evaluation of forecasts of operating results.

We strongly believe that our compensation should be largely based on the successful accomplishment of the Client's objectives. Brisbane Capital's compensation for Merger & Acquisition and Access to Capital Services typically includes a consulting fee, payable during the engagement, and a transaction success fee paid upon the completion of the project. Financial Advisory Services are typically provided on a per diem consulting fee. Where appropriate, we take a portion of our transaction success fee in Client equity to align our mutual long-term interests.

As a result of the unique requirements of our Clients, our working agreements are structured with regard to specific Client circumstances, including predefined goals and timetables.
