Exit Strategies

Privately held family businesses make up a significant percent of the businesses in the U.S. However, only 70% survive into the second generation and only 30% survive into a third generation. There are many reasons for this, including poor planning and conflict between family members.

Exit and succession planning requires study at both the corporate and shareholder level. A business plan and company valuation is required to begin the process. The owner's personal assets and goals must be identified and the goals of other key family members/employees should also be known.

Our experience suggests that when owners take the time to develop a business plan, obtain a current business valuation and focus on their personal net worth and future goals, risk management, tax savings and improved cash flow opportunities are frequently available.

Our focus is long term. We assist clients and their legal, tax and estate planning advisors by focusing on key questions in the following areas:

  • owner's personal assets
  • owner's personal goals
  • estate / contingency planning
  • shareholder issues
  • board of director issues
  • business strategic planning
  • business valuation
  • entity structure and asset ownership
  • management team / leadership
  • executive compensation plan
  • financial reporting system

We have significant experience working with privately held family businesses ranging in size from revenues of $5 million to over $500 million. We have assisted clients in planning and executing exits using a variety of approaches including mergers, sale of the business, transfer to the next generation, management buyouts and restructuring of assets and operations.

In a relatively short period of time we can develop an understanding of the owner's personal situation and objectives and the business evaluation that will enable Brisbane Capital and the owner to identify various value added strategies. We then advise the owner and their legal and tax professionals in the implementation phase to accomplish the identified objectives.
