Planning to Maximize Value

During this initial phase, we develop a thorough understanding of your business and objectives. Our objective is to determine an overall strategy designed to maximize shareholder value while developing an independent perspective on the value of your business. When appropriate, we interview key managers. In all transactions, we analyze historical data and projected future results, research industry information and develop an initial list of potential strategic buyers. We identify target buyers meeting criteria mutually agreed upon by the Client and Brisbane Capital. We also provide the Client with an objective value analysis and help develop a confidential information memorandum to assist qualified targets in evaluating the Client's business.

Confidential Marketing

The objective of the Marketing Phase is to obtain offers from multiple qualified strategic buyers. Initially, we contact and qualify the previously identified targets. After the targets execute confidentiality agreements, we provide a confidential information memorandum providing an overview of the client and their business. We then seek to obtain preliminary non-binding offers from target buyers. Upon further qualification of interested buyers, we typically facilitate meetings between each potential buyer and our client. These meetings provide each target buyer an opportunity to meet appropriate members of the client's management team, conduct limited due diligence and gain additional information as the team presents their business plan. Our client also gains valuable insight into each target's business strategy, culture and transition plans. Our assistance includes preparation of the Client's personnel for presentations to targets and management of the presentations.

We typically manage a controlled auction process with multiple qualified buyers whereby each potential buyer is allowed to present a "final" proposal. Upon receipt of "final" proposals, we analyze the data, identify key negotiating points, and make recommendations to our client. With our client's approval, we aggressively negotiate price, structure and terms of a definitive agreement.

Closing

During the final phase, we facilitate and manage due diligence activities of the buyer and their advisors. Our objective is to assist the parties to close the transaction in accordance with the terms of the definitive sale agreement. We continue to assist our client until the final closing.
